Part A — General (all customers)

A.2 Scope and definitions

These terms apply to every offer, order and agreement between OR Coffee Roasters and a customer, online or offline, including OR Academy trainings.

Consumer: a natural person who buys for purposes outside his or her trade, business, craft or profession. Business: any natural or legal person pursuing an economic purpose on a lasting basis, including self-employed persons, associations and public bodies.

Part A applies to everyone. Part B also applies to consumers, Part C also applies to businesses.

A written agreement (for example a Cooperation and Supply Agreement or a signed quotation) prevails over these terms where it deviates from them. The customer's own general terms do not apply unless we accept them in writing.

If a provision is invalid, the other provisions remain in force and we replace the invalid provision with a valid one that comes as close as possible to what was intended.

A.3 Offer and order

Our offers are without obligation unless they expressly state a period of validity. A quotation is valid for 30 days unless stated otherwise. Images show the product as faithfully as possible; obvious mistakes or typing errors do not bind us.

The agreement is concluded when we confirm the order (by e-mail or through the webshop), or when the customer signs or expressly accepts a quotation.

A.4 Prices

Prices for consumers include VAT. Prices for businesses exclude VAT unless stated otherwise. Shipping costs are shown before the order is placed.

A.5 Delivery and risk

We deliver to the address given by the customer. Stated delivery times are indicative. We inform the customer if a delivery is delayed or cannot be made in full.

A.6 Retention of title

Delivered goods remain our property until the full price, including any interest and costs, has been paid.

A.7 Force majeure

In the event of force majeure we may suspend our obligations for as long as the force majeure lasts. Force majeure means any circumstance beyond our control that prevents or seriously hinders performance, such as strikes, fire, machine breakdown, failure of energy or communication networks, epidemics, extreme weather and late or non-delivery by our suppliers or carriers. If the force majeure lasts longer than two months, either party may terminate the agreement free of charge for the part not yet performed.

A.8 Intellectual property

Our trademarks, logos, texts, photos, recipes, training materials and packaging designs remain the property of us or our licensors. Any use requires our prior written consent.

A.9 Personal data

We process personal data in accordance with our privacy policy on orcoffee.be.

A.10 Applicable law

All agreements are governed by Belgian law. The Vienna Convention on the International Sale of Goods (CISG) is excluded. A consumer whose habitual residence is in another country keeps the protection of the mandatory provisions of the law of that country.

Part B — Consumers

B.1 Ordering and paying in the webshop

The customer adds products to the shopping cart, enters his or her details, chooses a delivery method, accepts these terms and confirms with the order button, which clearly states the obligation to pay. Payment is made online with the payment methods shown at checkout. The customer receives an order confirmation with these terms in a form he or she can keep.

We deliver to the countries available at checkout. Shipping costs and delivery times per country are shown before the order is placed. For deliveries outside the European Union, import duties and customs charges may be payable by the customer.

B.2 Right of withdrawal

The consumer may withdraw from a purchase made online or at a distance within 14 calendar days, without giving a reason and without costs, except for the direct cost of returning the goods. The period starts on the day of delivery (goods) or the day the agreement is concluded (services).

Withdrawal can be made through the withdrawal function in our webshop, with the European model withdrawal form, or with any other clear statement sent to webshop@orcoffee.be or by post to our address. We confirm receipt by e-mail without delay.

We refund all amounts received, including the standard delivery costs, within 14 days of the withdrawal, using the same means of payment. We may withhold the refund until we have received the goods back or until the consumer shows that they have been sent. The consumer returns the goods within 14 days of the withdrawal and is only liable for any loss in value caused by handling beyond what is needed to assess the product.

No right of withdrawal applies to:

  • sealed goods that are not suitable for return for health or hygiene reasons and have been unsealed, such as opened bags of coffee or tea;
  • goods made to the customer's specifications, such as coffee ground on request or personalised products;
  • trainings and other leisure services on a specific date (see B.7);
  • services that have been fully performed, if the consumer expressly asked us to start before the end of the withdrawal period and acknowledged that he or she would then lose the right of withdrawal.

B.3 Legal guarantee

The consumer has a legal guarantee of two years from delivery for any lack of conformity. He or she reports a defect as soon as possible to webshop@orcoffee.be. We repair or replace the product free of charge; if that is impossible or disproportionate, the consumer receives a price reduction or a refund. A commercial guarantee from the manufacturer (for example on a coffee machine) comes on top of the legal guarantee and is stated on the product page.

B.4 Payment by invoice and late payment

If a consumer pays by invoice (for example for a training), the invoice is payable on its due date. If it is not paid, we first send a free reminder. The consumer then has 14 calendar days to pay; for a reminder by e-mail that period starts the day after sending, for a reminder by post on the third working day after sending.

Only if the invoice is still unpaid after that period are the following due:

  • late payment interest at the rate of the Belgian Act of 2 August 2002 on combating late payment in commercial transactions, on the outstanding balance; and
  • a fixed compensation of € 20 if the balance is € 150 or less; € 30 plus 10% of the amount between € 150.01 and € 500 if the balance is between € 150.01 and € 500; € 65 plus 5% of the amount above € 500, up to a maximum of € 2,000, if the balance exceeds € 500.

For a second or further reminder we charge at most € 7.50 plus postage. We may engage a specialised debt collection agency, which follows the same legal rules.

B.5 Complaints and disputes

Complaints can be sent to webshop@orcoffee.be, +32 9 336 37 36 or by post to our address. We reply within 3 working days. If we cannot resolve the matter together, the consumer can contact the Belgian Consumer Mediation Service (www.consumentenombudsdienst.be). Disputes fall under the jurisdiction of the court designated by law.

B.6 Subscriptions

Unless a minimum term is stated on the product page and at checkout, a subscription runs for an indefinite period. The consumer pays for the first delivery on sign-up and authorises us to charge subsequent deliveries automatically through the chosen payment method. The subscription can be paused, changed or cancelled at any time through the customer account or by e-mail, no later than 3 days before the next delivery. For a subscription with a minimum term, the consumer can cancel from the last delivery of that term. We announce price changes at least 30 days in advance; the consumer can then stop free of charge. Packaging may change during the subscription. If a product is temporarily unavailable, we will contact the consumer.

B.7 OR Academy

This article also applies to businesses.

Rescheduling: the participant may move his or her booking to another date free of charge up to 7 calendar days before the training, subject to availability. Sending another person instead is always free of charge; the participant informs training@orcoffee.be in advance.

Late cancellation or no-show: for cancellations less than 7 calendar days before the training, or if the participant does not attend, the full amount is due and no refund is given.

Cancellation by OR: if there are too few participants, the trainer is unavailable or there is force majeure, the participant chooses between a new date and a full refund. No further compensation is due.

Vouchers: an OR Academy voucher is valid for 12 months from the date of purchase, as stated on the voucher or in the purchase confirmation. Vouchers are not exchangeable for cash.

Part C — Businesses

C.1 Acceptance

By placing an order, accepting a quotation or receiving an invoice without timely objection, the business accepts these terms. They are referred to on every quotation, order confirmation and invoice and can be consulted at any time on orcoffee.be.

C.2 Prices

Prices exclude VAT and, for coffee, excise duties unless stated otherwise. We may adjust our prices, in particular when the cost of green coffee, transport, packaging or excise duties changes. We announce a price change at least 30 days in advance by e-mail or through the Webshop Portal. Orders confirmed before the effective date keep the old price. For customers with a Cooperation and Supply Agreement, the price guarantee and price revision of that agreement apply.

C.3 Payment

Invoices are payable on the due date stated on the invoice. If no due date is stated, the invoice is payable within 15 calendar days of the invoice date. Payment is made to the account stated on the invoice, using the structured reference.

C.4 Late payment

If an invoice is not paid on its due date, the following are due by operation of law and without notice of default:

  • late payment interest of 12% per year from the due date until the day of full payment; and
  • a fixed compensation of 10% of the outstanding amount, with a minimum of € 50, for administrative and extrajudicial collection costs.

This is without prejudice to our right to claim higher proven collection costs. We may entrust collection to a specialised debt collection agency.

C.5 Acceleration and suspension

If an invoice is not paid on its due date, all other outstanding invoices become immediately payable, even if their due date has not yet been reached. We may then suspend current and future deliveries until full payment, after written notice (e-mail is sufficient). Arrangements for machines on loan follow the Cooperation and Supply Agreement.

C.6 Inspection on delivery and complaints

The business inspects each delivery on receipt. Visible defects and missing or incorrect products are reported in writing (e-mail is sufficient), with photos, within 15 working days of delivery. Hidden defects are reported within 8 calendar days of discovery. Complaints about an invoice are made in writing within 8 calendar days of the invoice date. A complaint does not suspend payment of the undisputed parts.

C.7 Liability

We are not liable for loss of quality caused by improper storage, preparation or use by the business, nor for indirect damage such as loss of turnover or profit. Our liability is in any event limited to the invoice value of the delivery concerned. This limitation does not apply in case of intent, fraud or gross negligence, nor to bodily injury.

C.8 Machines and equipment

Machines we lend or sell in combination with a coffee supply are subject to the specific provisions of the Cooperation and Supply Agreement or the signed quotation. For the warranty on machines we follow the manufacturer's warranty unless agreed otherwise in writing.

C.9 Jurisdiction

We first try to settle any dispute amicably. Failing that, disputes with businesses fall under the exclusive jurisdiction of the Enterprise Court of Ghent, Dendermonde division, and the courts of the judicial district of East Flanders.
